ReadySet Terms of Service

Welcome to ReadySet.

These Terms of Service ("Terms") govern your access to and use of ReadySet, including ReadySet Studio, participant applications, websites, mobile applications, APIs, software, content, support services, and related functionality (collectively, the "Services"), owned and operated by HVNT Entertainment AB, company registration number 559013-7047, with its registered address at Sturegatan 50, SE-11436 Stockholm, Sweden ("ReadySet", "we", "our", or "us").

By creating an account, accessing the Services, creating an Event, participating in an Event, or otherwise using ReadySet, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

If you use the Services on behalf of an organization, company, school, government entity, nonprofit organization, agency, client, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

1. Definitions

For purposes of these Terms:

"ReadySet"

Means the ReadySet platform and all related products, applications, services, software, APIs, websites, and tools operated by ReadySet.

"Services"

Means ReadySet and all related functionality, software, applications, websites, APIs, content, support services, analytics, integrations, and features provided by ReadySet.

"Studio"

Means ReadySet Studio and any administrative interface used to create, manage, publish, configure, monitor, or analyze Events.

"Studio User"

Means any person who accesses Studio or otherwise administers an Event.

"Event"

Means any game, challenge, scavenger hunt, educational activity, team-building activity, competition, training exercise, campaign, activation, tour, experience, or similar activity created, managed, or operated through the Services.

"Event Organizer"

Means any person or organization that creates, administers, sponsors, publishes, operates, promotes, manages, or controls an Event.

An Event Organizer may include:

  • Customers
  • Companies
  • Agencies
  • Schools
  • Educational institutions
  • Nonprofit organizations
  • Government organizations
  • Event partners
  • ReadySet itself

"Participant"

Means any individual who joins, accesses, views, participates in, or interacts with an Event.

"Customer Content"

Means content created, uploaded, submitted, or provided by an Event Organizer.

"Participant Content"

Means content submitted by Participants.

"Content"

Means all text, images, videos, audio, files, documents, GPS information, responses, challenge submissions, activity information, event information, analytics, and other materials.

"Subscription"

Means a recurring paid access plan offered by ReadySet.

"Free Services"

Means any free tier, free trial, demo account, promotional access, free event, beta service, evaluation service, or other unpaid offering provided by ReadySet.

"Managed Services"

Means professional services, setup services, event creation services, consulting services, white-label services, branded services, custom development, support services, or other services provided by ReadySet beyond standard self-service access.

2. Eligibility

To access Studio or create Events, you must:

  • Be at least eighteen (18) years old
  • Be legally capable of entering into binding agreements
  • Provide accurate and complete information
  • Comply with applicable laws

Participants may participate in Events regardless of age where permitted by applicable law and where any required permissions, approvals, notices, or consents have been obtained.

Event Organizers are responsible for ensuring that participation by minors complies with applicable laws and organizational requirements.

3. Accounts

Certain Services require an account.

When creating an account, you agree to:

  • Provide accurate information
  • Keep information current
  • Maintain account security
  • Keep credentials confidential
  • Accept responsibility for activities occurring under your account

You are responsible for all actions performed through your account, whether authorized by you or not.

You must immediately notify ReadySet of any suspected unauthorized access or security breach.

ReadySet may suspend or restrict accounts where we reasonably believe:

  • Security has been compromised
  • Fraud may be occurring
  • The Services are being abused
  • These Terms are being violated

4. Single Sign-On and Authentication

ReadySet may permit authentication through third-party identity providers including Google, Microsoft, Apple, or other providers.

Your use of such providers remains subject to their respective terms and privacy policies.

ReadySet is not responsible for outages, interruptions, restrictions, or actions taken by third-party authentication providers.

5. Services

ReadySet provides software and tools that enable Event Organizers to create, operate, and manage Events.

Features may include:

  • Interactive maps
  • Location-based gameplay
  • Team competitions
  • Quizzes and challenges
  • Photo and video submissions
  • Live scoring
  • Activity tracking
  • Reporting and analytics
  • AI-assisted functionality
  • Third-party integrations
  • Managed services

The Services evolve continuously.

ReadySet may modify, add, remove, replace, improve, suspend, or discontinue any portion of the Services at any time.

Nothing in these Terms obligates ReadySet to maintain any specific feature indefinitely.

6. Free Services, Trials and Promotional Access

ReadySet may offer:

  • Free accounts
  • Free events
  • Demo events
  • Evaluation periods
  • Trial subscriptions
  • Promotional access
  • Beta features

Unless otherwise specified:

  • Free trials are limited to thirty (30) days
  • Free event offerings are subject to participant limits and other restrictions
  • Free services may be modified or discontinued at any time

ReadySet may restrict access to Free Services for any reason.

Free Services are provided without warranties and may be subject to additional limitations.

7. Trial Abuse and Circumvention

You may not:

  • Create multiple accounts to obtain additional free trials
  • Create multiple organizations to avoid pricing limits
  • Circumvent participant limits
  • Circumvent subscription requirements
  • Manipulate promotional offers
  • Use aliases or alternative accounts to obtain unauthorized free access

ReadySet may suspend, terminate, or restrict accounts involved in such activity without notice.

Any fees avoided through abuse or circumvention may become immediately due and payable.

8. Agencies, Partners and White-Label Use

Agencies, consultants, resellers, event providers, and partners may use the Services on behalf of clients.

The account holder remains responsible for:

  • Compliance with these Terms
  • Actions performed through the account
  • Communications with clients
  • Content uploaded through the account

Certain Services may be provided through:

  • White-label arrangements
  • Branded deployments
  • Reseller programs
  • Partner programs
  • Managed-service agreements

Additional commercial terms may apply to such arrangements.

9. Event Organizer Responsibilities

Event Organizers are solely responsible for:

  • Event design
  • Event administration
  • Challenge content
  • Participant communications
  • Event safety
  • Event rules
  • Compliance with laws
  • Obtaining permissions and approvals
  • Participant notices
  • Participant consent where required

ReadySet provides technology and related Services but does not supervise or control Events.

Event Organizers remain responsible for decisions made regarding their Events.

10. Participants

Participants may access and interact with Events through the Services.

Participants acknowledge that Events may involve:

  • Location-based gameplay
  • Team activities
  • Challenges and competitions
  • Leaderboards and rankings
  • User-generated content
  • Photo and video submissions
  • Activity tracking features
  • Public or private Event participation

Participants remain responsible for their own conduct while using the Services.

Participants must comply with:

  • Applicable laws
  • Event Rules
  • Venue rules
  • Safety requirements
  • These Terms

ReadySet may remove, restrict, suspend, or terminate access to Participants who violate these Terms or interfere with the Services.

11. Event Safety

Participation in Events may involve physical movement, travel between locations, interaction with public spaces, or other real-world activities.

Participants and Event Organizers must:

  • Exercise reasonable judgment
  • Remain aware of their surroundings
  • Comply with traffic laws
  • Respect private property
  • Follow venue requirements
  • Prioritize safety at all times

Participants must not:

  • Enter restricted areas
  • Trespass
  • Ignore safety instructions
  • Engage in dangerous behavior
  • Use the Services while operating a motor vehicle
  • Place themselves or others at risk

ReadySet does not supervise Participants during Events and is not responsible for participant behavior.

To the maximum extent permitted by law, Participants assume responsibility for risks associated with participation in Events.

12. Location-Based Features

Certain features of the Services rely upon location information.

Depending on the Event format, ReadySet may:

  • Process precise location information
  • Continuously process location information during active gameplay
  • Process location information while an Event remains active
  • Validate locations at checkpoints
  • Generate maps and routes
  • Display participant positions
  • Calculate rankings and scores
  • Generate analytics and reports
  • Improve platform functionality

Certain features may not function correctly without location permissions.

Participants may disable location permissions at any time; however, doing so may limit or prevent participation in certain Event features.

Event Organizers acknowledge that location-based features form a core part of the Services and are responsible for informing Participants of such functionality where required by applicable law.

13. Activity and Wellness Features

Certain Events may use integrations with Apple Health, Google Health Connect, or similar services.

ReadySet may process information such as:

  • Step counts
  • Distance traveled
  • Estimated calories burned
  • Activity completion metrics
  • Similar activity-related information

Such features are intended solely for gameplay, engagement, reporting, and Event-related purposes.

The Services do not provide medical advice, healthcare services, fitness coaching, diagnosis, treatment, or health recommendations.

ReadySet makes no representation regarding the accuracy of activity-related information obtained through third-party providers.

14. Photos, Videos and Media Submissions

Participants and Event Organizers may upload, submit, capture, or share:

  • Photos
  • Videos
  • Audio recordings
  • Images
  • Screenshots
  • Media files
  • Other content

Participants acknowledge that submitted content may be:

  • Viewed by Event Organizers
  • Viewed by teammates
  • Displayed within the Event
  • Included in Event reports
  • Used to operate the Services

Event Organizers are responsible for determining how submitted content is used within their Events.

Marketing and promotional use of Participant Content is governed separately from operational use of the Services. Unless otherwise permitted by applicable law, ReadySet, Event Organizers, sponsors, and partners may only use Participant Content for marketing, advertising, promotional, testimonial, case study, social media, or similar purposes where appropriate consent has been obtained from the Participant.

ReadySet reserves the right to remove content that:

  • Violates these Terms
  • Violates applicable laws
  • Infringes intellectual property rights
  • Creates safety risks
  • Is abusive, offensive, or unlawful

15. User-Generated Content

Event Organizers and Participants retain ownership of Content they create and submit.

By submitting Content through the Services, users grant ReadySet a worldwide, non-exclusive, royalty-free license to:

  • Host
  • Store
  • Process
  • Reproduce
  • Display
  • Transmit
  • Distribute

such Content solely for the purposes of:

  • Operating the Services
  • Providing Event functionality
  • Generating reports and analytics
  • Improving the Services
  • Providing support
  • Maintaining platform security

This license ends when the Content is deleted, except where retention is required by law or where anonymized and aggregated information has been generated.

The license granted under this section is intended solely to enable ReadySet to provide, operate, maintain, secure, support, and improve the Services. It does not by itself authorize marketing, promotional, advertising, testimonial, social media, case study, or similar uses of Participant Content where additional consent has not been provided by the Participant through the Services or is otherwise required under applicable law.

Users represent and warrant that they possess all rights necessary to submit such Content.

16. Event Content and Event Rules

Event Organizers may create:

  • Challenges
  • Questions
  • Tasks
  • Missions
  • Quizzes
  • Scoring systems
  • Rules
  • Event-specific content

Event Organizers are solely responsible for Event Content.

ReadySet does not routinely review Event Content before publication.

ReadySet may remove Event Content that:

  • Violates these Terms
  • Violates applicable law
  • Creates unreasonable risk
  • Infringes intellectual property rights
  • Threatens platform integrity

Event Organizers remain responsible for ensuring their Events are lawful, appropriate, and safe.

17. Public Events

ReadySet may organize and operate public Events from time to time.

Public Events may include:

  • Community activities
  • Promotional campaigns
  • Sports activations
  • Holiday events
  • Educational experiences
  • Demonstration Events
  • Sponsored Events

For Public Events, ReadySet may act as the Event Organizer.

ReadySet may establish additional Event-specific rules applicable to such Events.

Participation in Public Events may be subject to:

  • Eligibility requirements
  • Geographic restrictions
  • Capacity limits
  • Event-specific rules
  • Additional disclosures

Where Event-specific rules conflict with these Terms, the Event-specific rules shall govern solely for that Event.

18. Competitions, Rewards and Prizes

Certain Events may include:

  • Competitions
  • Sweepstakes
  • Challenges
  • Rewards
  • Incentives
  • Prizes

Additional rules may apply to such Events.

Event Organizers are responsible for:

  • Prize administration
  • Prize fulfillment
  • Eligibility requirements
  • Compliance with applicable laws

Where ReadySet operates an Event involving prizes or rewards, ReadySet may publish additional terms governing participation.

ReadySet reserves the right to verify eligibility and disqualify Participants who violate applicable rules.

19. Educational Use

The Services may be used by:

  • Schools
  • Universities
  • Educators
  • Educational institutions
  • Youth organizations

Educational institutions and Event Organizers are responsible for:

  • Determining participant eligibility
  • Obtaining required permissions
  • Providing required notices
  • Complying with applicable educational and privacy laws

ReadySet does not independently verify participant age or educational permissions.

20. Participant Identity and Personal Information

ReadySet generally supports participation using usernames, nicknames, aliases, team names, or other identifiers selected by Event Organizers.

Event Organizers may choose to request additional information from Participants, including:

  • Names
  • Email addresses
  • Team information
  • Other Event-related information

ReadySet recommends that Event Organizers collect only information reasonably necessary for the purposes of the Event.

Where appropriate, Event Organizers are encouraged to allow Participants to use pseudonymous usernames rather than real names.

21. Intellectual Property

The Services, including ReadySet, Studio, software, source code, databases, user interfaces, documentation, templates, designs, graphics, branding, trademarks, logos, reports, and related materials are owned by ReadySet or its licensors and are protected by intellectual property laws.

Except as expressly permitted by these Terms, users may not:

  • Copy
  • Modify
  • Reverse engineer
  • Decompile
  • Disassemble
  • Redistribute
  • Sell
  • License
  • Exploit

any portion of the Services without prior written authorization.

No ownership rights are transferred to users through use of the Services.

22. ReadySet Content

ReadySet may provide:

  • Event templates
  • Sample challenges
  • Missions
  • Educational materials
  • Marketing materials
  • AI-generated content
  • Reports
  • Documentation
  • Public Event content

All such content remains the property of ReadySet unless expressly stated otherwise.

Users may use such content solely in connection with the Services.

23. Feedback

Users may voluntarily provide:

  • Suggestions
  • Feature requests
  • Feedback
  • Ideas
  • Recommendations
  • Improvements

By submitting Feedback, users grant ReadySet a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit such Feedback without restriction or compensation.

24. Artificial Intelligence Features

The Services may include artificial intelligence, machine learning, or automated content generation functionality.

Such functionality may be provided by:

  • ReadySet
  • OpenAI
  • Anthropic
  • Other third-party providers

AI-generated outputs:

  • May contain inaccuracies
  • May be incomplete
  • May be outdated
  • May require human review

Users remain responsible for reviewing and validating AI-generated outputs before relying upon them.

ReadySet does not guarantee the accuracy, completeness, legality, or suitability of AI-generated content.

25. Privacy and Data Protection

ReadySet processes personal information in accordance with:

  • The Privacy Policy
  • The Cookie Policy
  • Applicable data protection laws
  • Any applicable Data Processing Agreement

Depending on the circumstances, ReadySet may act as:

  • A Data Controller
  • A Joint Controller
  • A Data Processor

Additional details are provided in the Privacy Policy and any applicable Data Processing Agreement.

26. Data Retention and Deletion

ReadySet retains information for as long as reasonably necessary to:

  • Provide the Services
  • Maintain customer accounts
  • Improve the Services
  • Comply with legal obligations
  • Resolve disputes
  • Protect legitimate business interests

Event Organizers may delete Events through the Services.

Where an Event is deleted, associated data may be permanently removed in accordance with ReadySet's retention practices and technical processes.

Certain information may be retained longer where required by law, security requirements, fraud prevention measures, backup procedures, or legitimate business needs.

Further details regarding retention practices are described in the Privacy Policy.

27. Aggregated and Anonymized Data

ReadySet may generate, analyze, use, retain, and commercialize aggregated, anonymized, de-identified, or statistical information derived from use of the Services.

Such information may include:

  • Gameplay analytics
  • Platform usage metrics
  • Benchmarking information
  • Heatmaps
  • Movement patterns
  • Engagement statistics
  • Operational metrics

Such information shall not be used to identify individual Participants.

ReadySet may use such information for:

  • Product improvement
  • Research
  • Analytics
  • Security
  • Reporting
  • Benchmarking
  • Business operations

28. Third-Party Services

The Services may integrate with third-party products and services, including:

  • Google
  • Firebase
  • Apple
  • Stripe
  • Microsoft
  • HubSpot
  • OpenAI
  • Anthropic
  • Cloudflare
  • Other providers

ReadySet is not responsible for:

  • Third-party products
  • Third-party services
  • Third-party content
  • Third-party availability
  • Third-party policies

Use of third-party services remains subject to the terms and policies of the relevant provider.

29. Fees and Payments

Certain Services require payment.

Fees may apply to:

  • Subscriptions
  • Events
  • Managed Services
  • White-label services
  • Agency services
  • Enterprise agreements
  • Add-on services

Users agree to pay all applicable fees.

Unless otherwise stated:

  • Fees are exclusive of applicable taxes
  • Taxes are the responsibility of the customer
  • Fees are stated in the applicable order, checkout, quote, or pricing page

ReadySet may change pricing prospectively.

30. Payment Processing

Payments may be processed by third-party payment providers, including Stripe.

Users authorize such providers to process payments in accordance with applicable agreements.

ReadySet is not responsible for payment provider outages, errors, or interruptions.

31. Subscriptions

Subscription plans may automatically renew unless canceled before the applicable renewal date.

Subscription fees are charged in advance.

Customers are responsible for maintaining valid payment methods.

Failure to maintain valid payment information may result in suspension or termination.

32. Cancellation and Refunds

Customers may cancel subscriptions at any time.

Cancellation prevents future renewals but does not result in refunds for unused portions of the subscription term.

Except where required by law or expressly agreed by ReadySet:

  • Fees are non-refundable
  • Event purchases are non-refundable
  • Subscription fees are non-refundable
  • Managed Services fees are non-refundable once work has commenced

33. Managed Services

ReadySet may provide Managed Services, including:

  • Event creation
  • Content creation
  • White-label services
  • Branding services
  • Setup services
  • Consulting services
  • Training services
  • Support services

Managed Services may be governed by separate proposals, statements of work, quotes, or commercial agreements.

Where separate agreements exist, those agreements shall prevail over these Terms regarding Managed Services.

34. White-Label and Branded Services

Certain customers may receive:

  • White-label deployments
  • Branded experiences
  • Custom domains
  • Customized participant experiences
  • Other branded services

Such services may be subject to additional agreements, fees, restrictions, and technical limitations.

Nothing in these Terms grants ownership of the underlying ReadySet platform.

35. Data Export

Where functionality is made available, Event Organizers may export Event data, reports, media, analytics, or other information prior to deletion.

ReadySet is not responsible for maintaining access to deleted Events or deleted data.

Customers are responsible for exporting any information they wish to retain before deletion occurs.

36. Service Availability

ReadySet does not guarantee uninterrupted availability of the Services.

The Services may be affected by:

  • Maintenance
  • Updates
  • Security incidents
  • Third-party outages
  • Infrastructure failures
  • Internet interruptions
  • Force majeure events

Unless expressly agreed in writing, ReadySet does not provide service level agreements (SLAs), uptime commitments, or guaranteed response times.

Enterprise customers may separately purchase support plans or service-level commitments under written agreements.

37. Suspension

ReadySet may suspend, restrict, or disable access to all or part of the Services immediately where reasonably necessary to:

  • Protect the security of the Services
  • Investigate suspected fraud
  • Prevent abuse
  • Address unlawful activity
  • Prevent harm to users or third parties
  • Comply with legal obligations
  • Enforce these Terms
  • Address non-payment

Where practical, ReadySet may provide notice before suspension, but is not obligated to do so.

Suspension does not relieve customers of payment obligations that accrued before suspension.

38. Termination

Users may stop using the Services at any time.

Customers may terminate subscriptions in accordance with applicable subscription terms.

ReadySet may terminate or suspend access where:

  • These Terms are materially breached
  • Payment obligations are not met
  • Fraudulent activity is suspected
  • The Services are abused
  • Required by law
  • Continued access presents security or operational risks

Upon termination:

  • Access to the Services may cease immediately
  • Events may become inaccessible
  • Export rights may cease
  • Data may be deleted according to applicable retention policies
  • Outstanding fees remain payable

Sections intended to survive termination shall remain in effect after termination.

39. No Warranty

To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.

ReadySet does not warrant that:

  • The Services will be uninterrupted
  • The Services will be error-free
  • The Services will always be available
  • The Services will meet every user's expectations
  • All content will be accurate
  • AI-generated content will be correct
  • Third-party services will remain available

Users assume the risks associated with use of the Services.

Nothing in these Terms excludes warranties that cannot be excluded under applicable law.

40. Limitation of Liability

To the maximum extent permitted by applicable law, ReadySet and its directors, officers, employees, contractors, affiliates, licensors, suppliers, and partners shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Special damages
  • Exemplary damages
  • Punitive damages
  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of anticipated savings
  • Loss of data
  • Business interruption

This limitation applies regardless of the legal theory upon which a claim is based.

To the maximum extent permitted by law, ReadySet's aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by the customer to ReadySet during the twelve (12) months immediately preceding the event giving rise to the claim.

For users accessing only Free Services, ReadySet's aggregate liability shall not exceed EUR 100.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

41. Participant Risks and Assumption of Responsibility

Participants acknowledge that Events may involve:

  • Physical activity
  • Travel between locations
  • Outdoor environments
  • Public spaces
  • Team activities
  • Interaction with third parties

Participants voluntarily assume responsibility for risks associated with participation.

Participants remain responsible for:

  • Personal safety
  • Compliance with laws
  • Compliance with Event Rules
  • Appropriate use of devices
  • Decisions made during participation

ReadySet does not supervise Participants and is not responsible for individual conduct during Events.

Nothing in this section limits rights that cannot be waived under applicable law.

Users acknowledge that Events may take place in public spaces, outdoor environments, private venues, educational institutions, workplaces, sports facilities, or other locations not owned or controlled by ReadySet.

ReadySet does not inspect, supervise, or control Event locations and makes no representations regarding the safety, suitability, accessibility, legality, or condition of any Event location.

To the maximum extent permitted by law, Participants and Event Organizers assume responsibility for evaluating risks associated with participation in Events and the locations in which Events occur.

42. Indemnification

Event Organizers agree to defend, indemnify, and hold harmless ReadySet and its directors, officers, employees, contractors, affiliates, licensors, and partners from and against claims, damages, losses, liabilities, costs, and expenses arising from or relating to:

  • Event Content
  • Customer Content
  • Participant communications
  • Violation of applicable law
  • Intellectual property infringement
  • Privacy violations
  • Failure to obtain required permissions or consents
  • Unsafe Event design
  • Breach of these Terms

This obligation survives termination of the Services.

43. Force Majeure

ReadySet shall not be liable for delays, interruptions, failures, or inability to perform resulting from events beyond its reasonable control, including:

  • Natural disasters
  • Floods
  • Fires
  • Pandemics
  • Epidemics
  • Labor disputes
  • Government actions
  • Internet failures
  • Infrastructure failures
  • Cyberattacks
  • Utility interruptions
  • Third-party service outages

ReadySet shall make reasonable efforts to mitigate the effects of such events where practical.

44. Compliance With Laws

Users agree to comply with all applicable laws, regulations, rules, and requirements relating to their use of the Services.

Event Organizers are solely responsible for ensuring that their Events comply with applicable:

  • Privacy laws
  • Employment laws
  • Educational regulations
  • Promotional laws
  • Competition laws
  • Safety requirements
  • Local regulations

ReadySet does not provide legal advice regarding compliance obligations.

45. Export Control and Sanctions

Users may not use the Services in violation of applicable export control laws, sanctions programs, or trade restrictions.

Users represent that they are not prohibited from receiving the Services under applicable law.

46. Changes to the Services

ReadySet may modify, improve, replace, suspend, or discontinue portions of the Services at any time.

ReadySet shall not be liable for modifications, discontinuations, or changes to the Services.

47. Changes to These Terms

ReadySet may update these Terms from time to time.

When material changes are made, ReadySet may provide notice through:

  • The Services
  • Email
  • Website publication
  • Other reasonable means

Continued use of the Services after such changes become effective constitutes acceptance of the updated Terms.

48. Entire Agreement

These Terms, together with:

  • The Privacy Policy
  • The Cookie Policy
  • Any applicable Data Processing Agreement
  • Any applicable Statements of Work
  • Any applicable Order Forms
  • Any applicable Event Rules

constitute the entire agreement between the parties regarding the Services.

49. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted to reflect the original intent as closely as permitted by law.

50. Assignment

Users may not assign or transfer rights under these Terms without ReadySet's prior written consent.

ReadySet may assign these Terms in connection with:

  • Corporate restructuring
  • Merger
  • Acquisition
  • Sale of assets
  • Financing transactions

51. No Waiver

Failure by ReadySet to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

52. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Sweden, excluding conflict-of-law principles.

53. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden, unless otherwise required by applicable law or agreed in writing between the parties.

Enterprise customers, agencies, partners, or white-label customers may be subject to alternative dispute resolution provisions contained in separately negotiated agreements.
